These Terms of Service ("Terms") govern access to and use of FeedManager, the product feed management
platform available at panel.feedmanager.org, api.feedmanager.org and feed.feedmanager.org (the
"Service"), a product of Optimal Technologies LLC ("Optimal"), a limited liability company registered in Wyoming, United States (2026-002109285), with its registered office at 30 N Gould St, STE R, Sheridan, Wyoming 82801, United States ("FeedManager", "we",
"us").
1. Acceptance and who may use the Service
1.1 By creating an account, ticking the acceptance box or using the Service, you agree to these Terms, including the Data Processing Agreement (§11), on behalf of the business you represent ("Customer", "you"). You confirm that you are authorised to bind that business.
1.2 The Service is intended for business use only. It is not offered to consumers, and you may not use it for personal, family or household purposes.
1.3 You must be at least 18 years old to create a user.
2. Definitions
- Account: a workspace in the Service holding a Customer's sources, products, feeds and settings. A person may belong to several Accounts, and an Account may have several Users.
- User: an individual with login credentials, invited to or creating an Account, with a role in it (manager or user).
- Customer Data: all data you or your Users submit to the Service or let it fetch — product data, files, third-party credentials, analytics data, feed configurations — and the feeds generated from it.
- Plan: the subscription tier of an Account (Free, Standard, Pro, Premium or Enterprise) and its limits.
- Third-Party Platform: a service you connect to FeedManager, such as Shopify, WooCommerce, Google Sheets or Google Analytics, or a channel that consumes your feeds, such as Google Merchant Center or Meta.
3. The Service
3.1 FeedManager fetches product data from sources you configure (files, spreadsheets, Third-Party Platforms and the Product API), stores it, lets you transform and filter it, and publishes feed files at URLs you can give to sales and advertising channels.
3.2 Features, limits and prices depend on the Account's Plan as described on our pricing page or in an order form. We may improve and change the Service; if a change materially reduces the core functionality of a paid Plan, we will tell you at least 30 days in advance.
3.3 Features marked as beta or preview are provided as they are, may change or be withdrawn, and are excluded from any service commitments.
3.4 If you confirm a store domain for page checks, you authorise FeedManager to read, on that domain, a limited daily sample of the product pages your feeds link to, and its home page, contact page and robots.txt, to compare them with your feeds. We read them as "FeedManager", within your robots.txt and at a limited rate; what we read is used only for these checks and kept for 30 days. Confirm only domains you control.
4. Accounts and Users
4.1 You must provide accurate registration information, verify your email address, and keep it up to date. Some features (creating sources, connections, feeds and API keys) are available only after email verification.
4.2 Each User must have their own login. Users must keep their passwords, two-factor codes and API keys confidential. You are responsible for all activity under your Account and your Users' logins and API keys, and must tell us promptly at [email protected] if you suspect unauthorised access.
4.3 An Account's managers decide who has access to it and with which role. We act on instructions from the Account's managers, for example when adding or removing Users.
4.4 We may limit the number of Accounts a single User can create.
4.5 Our staff (administrators and operators) can access your Account to provide support, investigate problems and operate the Service. Such access is logged in the Account's activity log.
5. Plans, limits and fees
5.1 Each Plan has limits (for example on products, sources, feeds, users, sync and feed frequency, and Product API requests). The Service enforces these limits technically; for example, products above the product limit are not imported and are reported as errors.
5.2 Paid Plans are billed in advance, monthly or yearly, at the prices shown on the pricing page when you subscribe. Payments are processed by our payment provider, Stripe; card details are entered on Stripe's pages and never reach our servers. Subscriptions renew automatically for the same period until cancelled; you can cancel, change payment methods and download invoices in the billing portal linked from the Account's subscription page. A cancellation takes effect at the end of the paid period, after which the Account moves to the Free Plan. If a payment fails and is not recovered after the provider's retries, the subscription ends and the Account moves to the Free Plan. Prices are in US dollars and exclude VAT or equivalent local taxes, which are added at checkout where they apply; businesses in the EU with a valid VAT ID are charged under the reverse-charge rule. Invoices are issued by Optimal Technologies LLC. Refunds, including the 14-day refund for a first yearly payment and for AI credit packs, are governed by our Billing, cancellation and refunds terms (www.feedmanager.org/legal/billing/), which form part of these Terms. Enterprise Plans are governed by a separate order form, which prevails over these Terms where they conflict.
5.3 New Accounts start on the Free Plan.
5.4 If an Account moves to a lower Plan, nothing is deleted: features and resources above the new limits are paused until the Account is back within its limits.
5.5 We may change the price or the limits of a Plan. A change never applies to a paid subscription during a period you have already paid for: it takes effect at your next renewal at the earliest, and we announce it to the Account's managers by email at least 30 days before it applies to you. If you do not agree, you can cancel before that renewal (§5.2). A change that only gives you more — a higher limit, a new feature, a lower price — may apply at once.
6. Customer Data
6.1 You keep all rights in Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transform, transmit and publish Customer Data only as needed to provide, secure and support the Service for you and as instructed by you (for example, publishing feeds at the URLs you configure).
6.2 You are responsible for Customer Data: that you have the rights to use it and to let us process it, that it is accurate, and that the products and content in it, and your use of the resulting feeds, comply with applicable law and with the policies of the channels you send them to. We do not review Customer Data and are not responsible if a channel rejects, suspends or penalises your listings.
6.3 You must not submit special categories of personal data (such as health data), payment card data or other sensitive personal data to the Service.
6.4 You can export your Customer Data at any time while your Account is open or in its closing grace period (§14).
7. Third-Party Platforms and credentials
7.1 When you connect a Third-Party Platform, you authorise us to access it with the credentials or permissions you provide, only to perform the functions you configure. You confirm you are entitled to grant this access.
7.2 Your use of Third-Party Platforms is governed by their own terms. We are not responsible for their availability, their changes to APIs or data, or their acts and omissions.
7.3 We store third-party credentials encrypted and never display them back in full.
8. Feeds and feed URLs
8.1 Feed files are published at URLs containing a long random token. Anyone who knows a feed URL can download the feed unless you enable password protection for it. Share feed URLs only with the channels that need them, and rotate the token in the Service if a URL is exposed.
8.2 Suspended or closed Accounts' feeds stop being served.
9. Product API
9.1 Pro, Premium and Enterprise Plans may use the Product API with API keys created in the Service. Each request may contain at most 1,000 products; requests are queued and processed in the order received for each source.
9.2 You must keep API keys secret, respect rate limits, and not try to get around limits, for example by spreading requests across Accounts or keys.
10. Acceptable use
You must not, and must not allow anyone to:
- use the Service for illegal goods or services, content that infringes others' rights, or misleading listings;
- upload malware, or use the Service to attack, scan or probe other systems, including by pointing sources at internal or third-party systems you are not authorised to access;
- attempt to access other Customers' data, bypass security or authentication, or test the Service's vulnerability or load without our written permission;
- interfere with the Service's operation or place unreasonable load on it;
- resell, sublicense or provide the Service to third parties as a service bureau without our written agreement;
- copy, reverse engineer or build a competing product from the Service, except as mandatory law permits.
11. Data protection
11.1 Our Privacy Policy (www.feedmanager.org/legal/privacy/) explains how we process personal data of Users and other individuals as a data controller.
11.2 Where we process personal data contained in Customer Data on your behalf, we act as your data processor (veri işleyen) and the Data Processing Agreement (www.feedmanager.org/legal/dpa/) applies. It forms part of these Terms.
12. Security
We protect the Service and Customer Data with the technical and organisational measures described in the Data Processing Agreement (Annex II), including encryption in transit, encryption of stored credentials, account isolation, access logging and backups. You are responsible for securing your own systems, credentials and devices and for configuring the Service's security options appropriately.
13. Availability and support
13.1 We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Planned maintenance will be announced in advance where practicable. Service-level commitments apply only if agreed in an Enterprise order form.
13.2 Support is provided by email at [email protected] and through the feedback form in the Service. Plans that include an account manager get a named contact person at FeedManager.
14. Closing an Account, suspension and termination
14.1 You may close an Account at any time from its settings (Account managers only). When you close it, its feeds stop being served, synchronisation and API access stop, and its API keys are revoked. You can reopen the Account during a 30-day grace period. After that, the Account and its Customer Data are permanently deleted from the live systems, and from backups within a further 30 days.
14.2 You may delete your own User at any time from your profile, unless you are the only manager of an open Account.
14.3 We may suspend an Account or User, with notice where practicable, if (a) they breach these Terms, (b) their use creates a security risk or harms the Service or others, (c) fees are overdue by more than 14 days after we notify you, or (d) the law or an authority requires it. We will lift the suspension once the cause is resolved.
14.4 We may terminate these Terms for an Account (a) for material breach not cured within 15 days of notice, or (b) for convenience with at least 30 days' notice, in which case we refund prepaid fees for the unused period.
14.5 Sections 6.2, 10, 15–20 and 22 survive termination.
15. Intellectual property
The Service, its software, design and documentation belong to FeedManager and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.
16. Confidentiality
Each party will keep the other's non-public information received in connection with the Service confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed or lawfully received from others, or that must be disclosed by law (with notice to the other party where permitted).
17. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms and to the extent permitted by law, the Service is provided "as is" and "as available", without other warranties, express or implied, including fitness for a particular purpose. We do not warrant that channels will accept your feeds.
18. Limitation of liability
18.1 Neither party is liable for indirect or consequential damages, lost profits, lost revenue or lost business opportunities, even if advised of their possibility.
18.2 Each party's total liability arising from these Terms in any 12-month period is limited to the fees the Customer paid for the Service in that period, or USD 100 for Accounts on the Free Plan.
18.3 These limits do not apply to liability that cannot be limited under applicable law, including liability for intent or gross negligence, nor to the Customer's payment obligations and indemnity under §19.
19. Indemnity
You will defend and indemnify FeedManager against third-party claims arising from Customer Data, from your use of feeds and Third-Party Platforms, or from your breach of §10, and pay the resulting damages and reasonable costs finally awarded or agreed in settlement.
20. Changes to these Terms
We may update these Terms. We will announce material changes at least 30 days before they take effect, by email to Account managers and in the Service, and ask managers to accept the new version at their next login. If you do not agree, you may close your Account before the change takes effect. The current and previous versions are available at www.feedmanager.org/legal/terms/.
21. General
21.1 These Terms (with the DPA, the Privacy Policy and any order form) are the entire agreement between the parties about the Service. If a provision is invalid, the rest remains in force.
21.2 Neither party may assign these Terms without the other's consent, except to a successor of its business.
21.3 Neither party is liable for delays or failures caused by events beyond its reasonable control.
21.4 Notices to you are sent to the email addresses of the Account's managers; notices to us go to [email protected].
21.5 These Terms are drafted in English. If a Turkish translation is published, it is provided for convenience only and the English version prevails in case of conflict.
22. Governing law and jurisdiction
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The courts located in Sheridan County, Wyoming have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court.
